Terms of Service Agreement

"Agency" or "RocketResults.ai" refers to RocketResults.ai Technologies Inc., a corporation incorporated under the laws of Canada, together with its owners, directors, officers, employees, and contractors.

"Client" or "you" refers to the individual, business, or organization engaging the Agency for services or otherwise accessing or using the Services.

"Platform" refers to the Agency's integrated marketing, automation, and hosting infrastructure, which incorporates enterprise-grade technology from specialized third-party providers.

"Services" refers to all services provided by the Agency, including but not limited to: website design and development, CRM and automation setup, SEO services, funnel and landing page creation, and AI bot/agent configuration.

"Applicable Law" refers to all federal, provincial, and territorial laws of Canada that apply to the Services, including but not limited to PIPEDA and CASL.

The Agency provides the following services, subject to the terms outlined in this Agreement:

• Website design and development using WordPress, platform-native website builders, AI-assisted development tools, or other agreed technologies. The platform, hosting arrangements, and included management services will be specified in the applicable proposal or statement of work.
• CRM configuration, pipeline setup, and marketing automation workflows.
• Search engine optimization (SEO) services.
• Sales funnel and landing page creation.
• AI bot and agent configuration, training, and deployment.

3.1 Platform Reliance

The Services are delivered using the Agency's Platform, which incorporates technology from Third-Party Providers. The Agency does not own, operate, or control the underlying infrastructure. The Agency is not responsible for any service interruptions, feature changes, deprecations, or data loss imposed by Third-Party Providers.

3.2 Platform Fees

Certain usage-based costs—including hosting fees, SMS and call charges, AI usage fees, and email volume—are separate from and in addition to the Agency's service fees. The Client is responsible for all platform and usage-based fees.

3.5 Pricing Transparency

The Agency will provide commercially reasonable advance notice of known platform fee increases. In the event of material platform changes beyond the Agency's control, either party may renegotiate service terms or terminate the Agreement without penalty upon 30 days' written notice.

4.1 WordPress Sites

Websites built on WordPress and hosted within the Agency's managed environment are the property of the Client. The Client retains full ownership of all content and may migrate their site at any time.

4.2 Platform-Native Assets

Funnels, workflows, and automations built using the Platform's native tools (distinct from WordPress) cannot be exported and may become inaccessible upon cancellation.

AI systems generate responses based on statistical patterns and do not possess human judgment or professional licensure. The Agency does not guarantee the accuracy or appropriateness of AI-generated output.

Client Responsibilities: The Client must review and approve all AI training materials, monitor interactions, and ensure compliance with Applicable Law, including clear disclosure that users are interacting with an AI system.

All Client data stored within the Platform belongs to the Client. Data may be stored or processed in Canada, the United States, or other jurisdictions depending on infrastructure providers.

The Client is responsible for ensuring their use of the Services complies with PIPEDA, CASL, Quebec Law 25, and other provincial privacy legislation.

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE AGENCY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

THE AGENCY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT IN THE THREE (3) MONTHS PRECEDING THE CLAIM. THE AGENCY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
